TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you and Guiga Marketing ("Company", "we", "us", or "our") concerning your access to and use of our website and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access our services.

2. Our Services

2.1 Service Description

Guiga Marketing provides digital marketing and advertising services, including but not limited to:

• Social media advertising (Facebook, Instagram, TikTok, YouTube)
• Google Ads campaign management
• Branding and graphic design services
• Website design and development
• Video and photography services
• Community management
• Spotify for Artists promotion

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

2.3 User Obligations

You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Not use our services for any unlawful or prohibited purpose
• Not interfere with or disrupt our services
• Provide necessary materials and information for service delivery in a timely manner

3.1 Pricing

All prices are listed in Tunisian Dinars (TND) unless otherwise stated. Prices are subject to change without notice, but changes will not affect orders already placed.

3.2 Payment Methods

We accept payments through Konnekt Network payment gateway. Payment methods include:

• Credit/Debit Cards (Visa, Mastercard)
• E-Dinar
• Mobile payments

3.4 Late Payments

Late payments may result in suspension of services. A late fee of 5% per month may be applied to overdue invoices.

4.1 Refund Eligibility

Refunds are considered on a case-by-case basis. Generally:

• Digital Services: No refunds after work has commenced
• Monthly Packages: No refunds for partial months; cancellation takes effect at end of billing cycle
• Advertising Budget: Ad spend paid to platforms (Facebook, Google, etc.) is non-refundable
• Upfront Payments: 50% deposit is non-refundable once project begins

4.2 Cancellation

You may cancel services by providing written notice:

• Monthly packages: 15 days notice required before next billing cycle
• One-time projects: Cancellation fee of 50% of total project cost if work has begun
• Active campaigns: 7 days notice required; campaigns will be paused, not deleted

5. Intellectual Property Rights

5.1 Our Content

All content on our website, including text, graphics, logos, icons, images, and software, is the property of Guiga Marketing or its licensors and is protected by copyright and intellectual property laws.

5.2 Deliverables

Upon full payment, you will receive ownership rights to final deliverables created specifically for you, including:

• Custom graphics and brand assets
• Website designs and code
• Video and photography content
• Marketing materials

We retain the right to:

• Display work in our portfolio
• Use work as case studies (with your permission)
• Reuse templates, code frameworks, and general methodologies for other clients

5.3 Client Materials

You represent that you own or have the necessary rights to any materials you provide to us. You grant us a license to use these materials for the purpose of delivering services.

6.1 Service Performance

While we strive for excellence, we cannot guarantee specific results from advertising campaigns or marketing services. Performance depends on many factors outside our control, including market conditions, competition, and platform algorithm changes.

6.2 Third-Party Platforms

We are not responsible for:

• Changes to third-party platform policies (Facebook, Google, etc.)
• Account suspensions or bans imposed by platforms
• Platform downtime or technical issues
• Algorithm changes affecting campaign performance

6.3 Maximum Liability

Our total liability for any claims arising from our services shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

7.1 Governing Law

These Terms are governed by the laws of Tunisia. Any disputes shall be resolved in the courts of Tunis, Tunisia.

7.2 Informal Resolution

Before pursuing formal legal action, we encourage you to contact us to resolve disputes informally. Most concerns can be resolved quickly through good-faith discussion.

7.3 Mediation

If informal resolution fails, parties agree to attempt mediation before litigation. Mediation costs shall be split equally between parties.

8. Additional Terms

8.1 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of service delivery.

8.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

8.3 Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Guiga Marketing.
